Last week I was contacted by _______________ who informed me that this paper we were trying to sell is actually encumbered by a lien with his company. Of course this means that legally we do not have a “Free and Clear Title” to the paper we purchased from you or the legal right to resell it.
I am making a serious attempt here to get things resolved before agencies and authorities have to be notified regarding your breach of contract with us and or any criminal actions. You were either ignorant in not checking out the UCC Financing Statements to insure that you could legally sell this me this paper to us or you were complicit with __________ in the act of reassigning paper to us in breach of a contract that he had made with CMA_.
You fraudulently misrepresented the paper you sold to us as having “Good and Merchantable Title” when it doesn’t and now you are refusing to honor our purchase contact and refund me my $67,543. (Ignorance is not going to play out well here considering your expertise in the industry).
You and ________never provided us the clear Chain of Title including all of the Bills of Sale for this paper as we had agreed to in our purchase agreement and have requested of both of you numerous times.
We need to get our $67,543 purchase price back now and assign this paper back to _________________ since CMA_ has documented to us that they have a legitimate lien on the paper making it illegal for you to have sold it to us.
